Acceptance of Terms
By submitting an enquiry form, signing an engagement letter, or making payment to Palor, you confirm that you have read, understood, and agree to be bound by these Terms. If you are acting on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
Clients must be at least 18 years of age and legally capable of entering into a binding contract under Malaysian law.
03
Service Description
Palor offers three distinct interior design engagements for residential spaces and intimate commercial venues in Malaysia:
-
Parlour Conversation (MYR 470)
An initial consultation — in person or at our studio — exploring how you inhabit your space and what changes would feel meaningful. Includes a written brief and visual direction. Delivered within one week. -
Interior Composition (MYR 3,500)
A comprehensive design service covering spatial planning, material selection, furniture curation, lighting, and detailed 3D renders. Includes two revision sessions and a full specification package. Timeline of 6–10 weeks. -
Gracious Implementation (MYR 1,850)
Project support through renovation — procurement, trades coordination, craftsmanship monitoring, and a concluding styling session. Duration of 8–16 weeks.
Service availability is subject to project capacity. Palor reserves the right to decline engagements at its discretion.
04
Engagements & Scope
Each engagement begins with a signed project brief that defines scope, deliverables, timeline, and payment schedule. Work outside the agreed scope — additional rooms, revised briefs, extra revision rounds — is treated as a variation and quoted separately.
Timelines are estimates based on typical project conditions. Delays arising from client decision-making, supplier availability, or site conditions do not constitute a breach by Palor.
Palor will communicate any anticipated delays promptly and work with you to find a suitable path forward.
05
Payment Terms
All fees are quoted and payable in Malaysian Ringgit (MYR). Payment schedules are detailed in each engagement letter but typically follow this structure:
- Parlour Conversation: Full fee payable upon booking.
- Interior Composition: 50% on engagement, 50% upon delivery of final renders.
- Gracious Implementation: 40% on engagement, 40% at procurement stage, 20% upon project completion.
Accepted payment methods include bank transfer and major debit/credit cards. Invoices unpaid beyond 14 days of the due date may attract a late fee of 1.5% per month.
Refund Policy
Parlour Conversation fees are non-refundable once the consultation has taken place. For longer engagements, deposits are non-refundable where design work has commenced. If Palor is unable to fulfil an engagement, a pro-rated refund of unused fees will be issued.
06
Intellectual Property
All Deliverables remain the intellectual property of Palor until payment is received in full. Upon full payment, Palor grants you a non-exclusive, non-transferable licence to use the Deliverables for the specific project and property stated in the brief.
You may not reproduce, adapt, or share Deliverables with third parties for use in other projects without prior written consent from Palor.
Palor reserves the right to photograph completed projects and use images for portfolio and promotional purposes, subject to reasonable privacy considerations.
07
Client Responsibilities
To allow Palor to deliver services with care and quality, clients agree to:
- Provide accurate information about the property, existing conditions, and budget.
- Make timely decisions during revision stages to avoid timeline impact.
- Ensure safe and reasonable access to the property for site visits and trades.
- Communicate changes to brief or scope promptly and in writing.
- Treat Palor's team with courtesy and professionalism.
Clients may not request services that violate applicable Malaysian law, building codes, or planning regulations.
08
Disclaimers
Services are provided in good faith based on the information available at time of design. Palor cannot warrant that outcomes will precisely match digital renders, as physical materials, lighting conditions, and craftsmanship introduce natural variation.
The Site and its Content are provided on an "as is" basis. Palor makes no representations about the completeness or accuracy of information on the Site.
Palor's design advice does not constitute structural, engineering, or legal advice. Clients should engage licensed professionals for such matters.
09
Limitation of Liability
To the fullest extent permitted under Malaysian law, Palor's total liability arising from or related to an engagement shall not exceed the fees paid by the client for that specific engagement.
Palor is not liable for indirect, incidental, or consequential losses including lost profit, loss of enjoyment, or delays caused by third-party suppliers or contractors.
Nothing in these Terms limits liability for fraud, gross negligence, or any matter that cannot be excluded by law.
10
Termination
Either party may terminate an engagement by providing 14 days' written notice. Upon termination, the client is responsible for fees covering all work completed up to the termination date, assessed on a reasonable time-and-material basis.
Palor may terminate immediately and without notice in cases of non-payment, abusive conduct, or material breach of these Terms.
11
Dispute Resolution
These Terms are governed by the laws of Malaysia. In the event of a disagreement, both parties agree first to attempt resolution through good-faith discussion.
If informal resolution is unsuccessful within 30 days, either party may refer the matter to mediation under the Malaysian Mediation Act 2012 before commencing litigation.
Any legal proceedings shall be brought in the courts of Kuala Lumpur, Malaysia.
12
General Provisions
- Entire Agreement: These Terms, together with any signed engagement letter, constitute the entire agreement between the parties.
- Severability: If any provision is found unenforceable, the remainder continues in full force.
- Waiver: Failure to enforce a provision does not constitute a waiver of future enforcement rights.
- Assignment: Clients may not assign rights or obligations under this Agreement without Palor's prior written consent.
- Notices: Written notices may be sent by email to the addresses provided in the engagement letter.
13
Changes to Terms
Palor may update these Terms from time to time. Changes will be published on this page with a revised "Last Updated" date. Continued use of the Site or engagement of services after changes are posted constitutes acceptance of the updated Terms.
For active engagements, terms in the signed engagement letter take precedence over any subsequent website updates.
